About the Business Organizations Code Revisor's Report

The Business Organizations Code and the Business Organizations Code revisor's report were not written by the staff of the Texas Legislative Council and are not a part of the Texas Legislative Council's continuing statutory revision program.

The Business Law Section of the State Bar of Texas established a committee to study, draft, and make recommendations for a comprehensive code that would include all Texas statutes governing the formation and internal affairs of business entities, including corporations, partnerships, and limited liability companies. The revisor's report states the Revised Law, which is the text of the proposed new law, and then provides the Source Law, which is the text of existing law from which this revised law is derived. A Revisor's Note is included after the source law of some of the sections to provide an explanation of the difference between the revised law and the source law.
